TraxPS Terms of Use

Welcome to TraxPS, a B2B marketplace for NHS hospitals to list and purchase excess medicines. By accessing or using TraxPS, you agree to comply with these Terms of Use. If you disagree, you must not use the platform.

1. Definitions

• "TraxPS" refers to the web-based marketplace operated by TraxPS Ltd.
• "User" refers to any entity or individual accessing TraxPS.
• "Supplier" refers to a hospital listing excess medicines.
• "Buyer" or “Purchaser” refers to a hospital purchasing medicines from the marketplace.

2. Eligibility

• Only NHS hospitals and authorised healthcare entities may use TraxPS.
• Users must ensure compliance with all applicable regulations, including MHRA and NHS procurement guidelines.
• TraxPS reserves the right to verify user credentials and reject unauthorised access.

3. Account Registration

• Users must provide accurate and up-to-date information during registration.
• Each hospital is responsible for maintaining the confidentiality of its account.
• Unauthorised use of an account must be reported immediately.

4. Acceptable Use

• Users agree to:
  • List only genuine, excess medicines in compliance with UK regulations.
  • Conduct transactions transparently and in good faith.
  • Ensure all information provided is accurate.
• Users must not:
  • List counterfeit, expired, or unapproved medicines.
  • Engage in fraudulent activities or price manipulation.
  • Use the platform for any illegal or unethical activities.

5. Transactions & Liability

• TraxPS facilitates transactions but does not own or verify the listed medicines.
• All agreements are directly between the Buyer and Supplier.
• TraxPS is not responsible for quality, delivery, or compliance issues.

6. Fees & Payments

• TraxPS may charge listing or transaction fees, which will be disclosed upfront.
• Payment processing is handled through third-party providers.
• Users are responsible for any applicable taxes or regulatory fees.

7. Intellectual Property

• TraxPS and its content are protected by intellectual property laws.
• Users may not copy, modify, or distribute platform content without permission.

8. Privacy & Data Protection

• TraxPS collects and processes data as outlined in its Privacy Policy.
• Users must handle any shared data in compliance with GDPR and NHS guidelines.

9. Termination

• TraxPS may suspend or terminate accounts for violations of these Terms.
• Users may terminate their accounts by contacting support.

10. Disclaimers & Limitation of Liability

• TraxPS provides the platform "as is" without warranties of any kind.
• TraxPS is not liable for any damages resulting from platform use.

11. Changes to Terms

• TraxPS may update these Terms periodically.
• Continued use after updates constitutes acceptance.

12. Governing Law & Dispute Resolution

• These Terms are governed by UK law.
• Disputes shall be resolved through mediation or the UK courts.
